Job Description

We are seeking a detail-oriented and business-minded Commercial Contracts Attorney with a strong focus on negotiating, drafting, and managing customer-facing agreements. This role will work closely with sales, account management, finance, and operations teams to ensure customer contracts are clear, compliant, and aligned with the company’s business objectives while mitigating legal and operational risk.

Key Responsibilities

  • Draft, review, and negotiate a wide range of customer contracts, including master service agreements (MSAs), statements of work (SOWs), purchase agreements, licensing agreements, and subscription service agreements.
  • Partner with the sales and customer success teams to structure deals that align with both customer needs and company requirements.
  • Ensure customer contract terms comply with applicable laws, regulations, and company policies.
  • Advise internal stakeholders on contract risks, obligations, and negotiation strategies.
  • Develop and maintain contract templates, playbooks, and negotiation guidelines specifically for customer agreements.
  • Manage the contract lifecycle from initial drafting through execution, renewals, and amendments.
  • Resolve customer contract disputes in coordination with the legal team and business units.
  • Provide training to sales and account management teams on contract best practices and common negotiation points.
  • Track and report on key contract metrics, including turnaround times, common negotiation trends, and compliance issues.
  • Stay informed on legal and regulatory developments impacting customer contracts and recommend changes to templates and processes as needed.


Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Strong negotiation skills and business acumen.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Excellent communication and interpersonal skills.
