Job Description 
JOB SUMMARY
The Legal Counsel – Securities, Corporate Governance, &amp; Capital Markets will play a critical role in advising the company on securities and corporate governance matters to support O-I’s global operations. &nbsp;This position is responsible for advising on the company’s compliance with securities law drafting and reviewing SEC filings, and providing legal guidance on complex financial transactions. The role will manage public disclosures, oversee public company obligations and have close collaboration with senior leadership and various departments.
PRINCIPAL ACCOUNTABILITIES

As a key member of the legal team, you will provide strategic legal counsel on a wide range of securities and corporate governance matters to support O-I’s global operations. Your responsibilities will include:

<li>Advising on securities law and corporate governance issues.</li>
<li>Drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, registration statements, proxy statements, and other regulatory disclosures and reports.</li>
<li>Providing legal support for complex financial transactions, including capital markets activities and bank credit agreements.</li>
<li>Ensuring public disclosures, including press releases, meet SEC and other regulatory requirements.</li>

Qualifications 
EDUCATION AND EXPERIENCE REQUIREMENTS

<li>Juris Doctor (JD) from an ABA-accredited law school.</li>
<li>Active membership in good standing with at least one U.S. state bar.</li>
<li>Minimum of 5 years of relevant legal experience, with a strong focus on securities, corporate governance, and capital markets—gained at a top-tier national law firm and/or in-house at a Fortune 500 company.</li>
